This is your opportunity to join Deloitte's fast-growing Sale and Purchase Agreement (SPA) team which sits within our market leading M&A Transaction Service practice, with fantastic career development potential.
As a valued member of our team, you will have the opportunity to work in a fast-paced dynamic environment on a wide variety of deals, with a mix of corporate, private equity and infrastructure transactions.
Your day-to-day activities will involve supporting clients through the process of negotiating and drafting the financial and accounting aspects of the legal transaction documents, including developing contractual solutions to address accounting and commercial issues and to mitigate financial risks. You will work independently or alongside the M&A Transaction Services practice. The role includes supporting clients in post-signing activities including preparing or reviewing Completion Accounts and Earn-out Statements and helping resolve related disputes where necessary.
What will your typical day look like?
In this role, your typical day will include:
- Executing complex transactions: You will be involved in high-profile transactions, gaining valuable SPA experience and commercial insights. You'll have the chance to work closely with key client stakeholders, making a real impact on their M&A transaction outcomes.
- Strategic Insights: You will provide clients with strategic advice on purchase price mechanisms, cash, debt and working capital adjustments, ensuring that the financial aspects of transactions are clearly understood.
- Negotiation Support: You will assist clients in negotiating the financial aspects of SPA’s, aiming to maximise value and ensure that the terms are fair and legally sound.
- Collaborating on cross-border transactions: You will team up with our global colleagues on significant cross-border deals. This presents a unique opportunity to broaden your horizons and gain exposure to different markets and cultures.
- Developing deep business understanding: Through thorough analysis of due diligence reports and more, you will quickly develop a deep understanding of businesses. You'll identify opportunities and issues facing our clients, helping them make informed investment decisions.
- Building relationships: You will have the chance to build strong relationships with our existing and prospective clients, external advisors and deal counterparties. Your ability to connect with others will be key to your success in this role.
- Mentoring and coaching: We believe in nurturing talent. As a senior team member, you will provide guidance and coaching to junior team members. Together, we will create a supportive and collaborative environment.

About the team
Our team works side-by-side with the client and its advisors providing dedicated support on 100+ transactions per year. Typically, this involves advising clients in developing contractual solutions to financial and commercial issues identified through due diligence, including advising on purchase price adjustment mechanisms and completion accounts policies in the transaction agreements being negotiated.
Typically, we work within a wider deal team including financial due diligence and tax and we often work on global M&A deals involving cross-border as well as cross-service line deal teams requiring our people to build wide networks across both the Australian firm and International network.
We work closely with our clients, lawyers and other key advisers, allowing the opportunity to build strong relationships in your preferred sectors and excellent career progression opportunities, being supported directly by the Partners and Directors in the team from Day 1.

You may have all or some of the following skills / experiences:
- Post graduate qualification, e.g. CA, CPA or Masters in Applied Finance
- 7+ years of professional services experience across either Audit, Transaction Services, Forensics and/or Legal (ideally with Big 4)
- Sound understanding of accounting principles and concepts
- Attention to detail
- A flexible working style and an ability to adapt quickly to changing circumstances and priorities
- Strong writing and reviewing skills, with an appropriate focus on conciseness and risk management
- Broad commercial acumen coupled with a robust personality capable of operating effectively under the pressure and fast- pace of the deal marketplace
- Excellent interpersonal skills required to challenge, negotiate and operate at a senior level
- Client focused, ensuring high quality service
- Strong organisation skills and ability to work on multiple projects simultaneously.
- Experience of working on transactions, disputes or completion accounts would be an advantage but not essential
